Rock & Code brings together startups, developers and music professionals to collaborate over the course of a weekend. Participants will conceptualize, create and present their projects to a panel of music industry executives. Anything goes as long as its music related. Music professionals will be at the disposal of developers and startups over the course of the weekend, with the goal to help fine tune pitches and/or answer any music industry related questions/concerns.

NO PURCHASE OR PAYMENT NECESSARY TO ENTER OR WIN. A PURCHASE DOES NOT INCREASE YOUR CHANCES OF WINNING. THIS CONTEST IS VOID WHERE PROHIBITED OR RESTRICTED BY LAW. THIS CONTEST IS OPEN ONLY TO ELIGIBLE ENTRANTS WHO REGISTER (AS DESCRIBED IN SECTION 3 BELOW) IN ADVANCE TO PARTICIPATE IN THE CONTEST VIA WWW.EVENTBRITE.COM.
BY ENTERING THE ROCK & CODE DEVELOPER WEEKEND CONTEST - FOR GROUPS OR COMPANIES (THE CONTEST) YOU AGREE TO THESE OFFICIAL RULES, WHICH ARE A CONTRACT, AND ACKNOWLEDGE THAT YOU HAVE READ THEM AND ARE FULLY FAMILIAR WITH THEIR CONTENTS. THE WINNER WILL BE REQUIRED TO PARTICIPATE IN THE PRIZE FULFILLMENT PROCESS AND SIGN DOCUMENTATION, AS REQUIRED BY SPONSOR.
1. OVERVIEW. The Contest consists of a skill contest where groups comprised of a) independent eligible individuals and b) eligible employees of companies (and as further defined below) are invited to create an innovative music technology (Music Technology). There is only one (1) prize to be awarded. By entering the Contest, you acknowledge and agree that Sponsor may offer additional concurrent unique contests (Additional Contests) and that registration, entry and participation in this Contest does not constitute the same for Additional Contests. Specifically, individuals who have previously entered the Rock & Code Developer Weekend Contest - For Individualsare not eligible to enter this Contest (Individual Contest). If you enter this Contest, you are ineligible to register, enter or participate in any way in the Individual Contest.
2. ELIGIBILITY. The Contest may only be entered by U.S. legal residents located in the states of New York, New Jersey and Connecticut (the Contest Territory) who are at least the age of majority in their state or province of residence as of July 30, 2015 and who are members of either a) a group composed of two (2) to five (5) individuals entering the Contest together (the Group) or b) a U.S. incorporated company having received less than One Hundred Thousand Dollars ($100,000.00) in financing over the lifetime of the company represented by at least one (1) member (the Company). Employees, agents or officers of Sony Music Entertainment (Sponsor) or of any entity involved in the development, production, implementation and/or distribution of the Contest, including any advertising or promotion agency, supplier of prizes for the Contest, parent company, service provider, subsidiary or affiliate of any such entity or any other entity directly associated with the Contest (collectively, the Contest Entities) or any member of the immediate family of and/or person living in the same household (whether related or not) as such persons, are ineligible to enter the Contest.
3. HOW TO PARTICIPATE. The following section of the Contest Official Rules details the registration and entry process and the requirements for Groups and Companies (collectively, the Teams) to enter the Contest. Completion of the five (5) stages (each a Contest Stage) described below, at the sole satisfaction of the Sponsor, is required to enter the Contest. All requirements described herein are determined by Sponsor's in its sole discretion.
(1) Stage 1 - Official Entrant: Each Team must select one of its members to be the official entrant for its respective Team (the Official Entrant) who will be responsible for registering his/her Team to participate.
(2) Stage 2 - Registration Period: The Official Entrant must register his/her Team to participate between 12:00 p.m. ET on July 30, 2015 and 11:59:59 p.m. ET on September 18, 2015 (Registration Period) via [https://www.eventbrite.com/e/rock-code-tickets-17929350169] (Registration Site). Registration details and requirements will be available to Official Entrant on the Registration Site. There are one hundred (100) seats available for entrants in this Contest (the Capacity). These seats are available to registrants on a first come, first served basis. Once the Capacity is reached, registration will close. Teams will need to disclose the number of Team members who will be attending the Contest Event (as defined below).
(3) Stage 3 - Contest Event: Teams must attend the contest event scheduled to take place at ThoughtWorks, 99 Madison Avenue, New York, New York 10016 (Contest Event), between 7:00 p.m. ET on September 25, 2015 and approximately 4 p.m. ET on September 27, 2015 inclusive of the time necessary to present the Music Technology to the judges (Contest Period). Teams which are not registered for the Contest via the Registration Site will not be permitted to attend the Contest Event. Notwithstanding the foregoing, in the instance an individual attends the Contest Event without any other Team member after having registered to attend the Rock & Code Developer Weekend Contest -For Groups or Companies as a member of a Group, Sponsor reserves the right to allow such individual to enter the Individual Contest instead.
(4) Stage 4 - Submission: To be considered, the Official Entrant of each Team having completed Stages 1 and 2 must submit the following via the website ChallengePost at http://challengepost.com (the Contest Website) by 2 p.m. ET on September 27, 2015 (the Submission Deadline): (i) a technical, functional, and other relevant specifications of the submitted Music Technology (the Specifications); (ii) a working prototype of the Music Technology in object code form that fully implements the Specifications via functional, original code (for example: a native software application such as an iOS or Android app or PC program or website; no slideware or mock-up permitted) (the Prototype); and (iii) an entry form including the Entrant's full name, email address, the title of his/her Music Technology (collectively, the Submission Materials). The Prototype's presentation must not be longer than three (3) minutes.
(5) Stage 5 - Judging: To submit their Submission Materials, Entrants will then have the opportunity to present and perform their Prototype for no more than five (5) minutes in front of a panel of judges who will be present at the Contest Event at a designated location.
4. SUBMISSION MATERIALS. ONE SUBMISSION PER TEAM/OFFICIAL ENTRANT; ANY DUPLICATE WILL BE DISREGARDED AND TEAM/OFFICIAL ENTRANT MAY BE DISQUALIFIED. By submitting their Teams' Submission Materials, each Team and Team members agree to be bound by the decisions of the judges, and these Official Rules and to comply with all federal, state, and local laws and regulations. Sponsor and those working for Sponsor or on behalf of Sponsor, will not be responsible for lost, late, misdirected, damaged, or postage due mail or e-mail, or for Internet, computer hardware and software, phone, and/or any other technical errors, malfunctions, and delays. Submission Materials must be submitted during the Contest Period, by the Submission Deadline and in strict accordance with Sponsor's instructions and restrictions, as well as in compliance with all federal, state and local laws and regulations and these Official Rules. Sponsor's clock will be the official timekeeper for this Contest. Submission Materials recorded by Sponsor will be the only ones considered. Each Team should review all personal information entered for accuracy purposes and make all corrections necessary to inaccurate data before submitting its Submission Materials. Other proof of submitting or attempting to submit Submission Materials (such as, without limitation, a printed, saved or copied automated receipt confirming entry or a 'thanks for entering' screen or message) does not constitute proof of actual receipt of the Submission Materials for purposes of this Contest. Those who do not abide by these Official Rules, the instructions of Sponsor or fail to provide all required information will be disqualified in Sponsor's sole discretion. Immediately upon submission, tangible Submission Materials will become the property of the Sponsor and will not be acknowledged or returned and may be destroyed. Teams are encouraged to keep a copy or the original of each element submitted as part of the Submission Materials. Submission Materials that are forged, altered, incomplete, lost, late, misdirected, mutilated, illegitimate, garbled, or generated by a macro, bot, or other automated means will not be accepted and will be void. In the event of a dispute concerning the identity of the Team who submitted its Submission Materials, the Submission Materials will be deemed to have been submitted by the authorized holder of the e-mail information provided on the entry form. The 'authorized account holder' is the natural person to whom an email address is assigned by an Internet access provider, online service provider or other organization (e.g., business, educational institution, etc.) responsible for assigning email addresses for the domain associated with the submitted email address.
Submission or participation by any other individual, entity or group or originating on any other website than the Contest Website, including, without limitation, through commercial promotion subscription notification or entering services, will be declared invalid and disqualified for this Contest. As a condition of entering this Contest, without limiting any other provision in these Official Rules, each Team and Team member gives consent for Sponsor and its agents to obtain and deliver his or her name, address and other information and content to third parties for the purpose of administering this Contest and complying with applicable laws, regulations, and rules. Sponsor may keep all Team and Team members' information for up to five (5) years after completion of the Contest for business management and record keeping purposes.
The Submission Materials may not contain references which are obscene, crude or vulgar, gang identification, references to commercial products, license plate numbers, phone numbers, personal addresses (physical or email), Website URLs, derogatory characterizations of any ethnic, racial, sexual or religious groups, references to illegal or inappropriate activity, behavior or conduct, or any other references that could be considered inappropriate, unsuitable or offensive, as determined by Sponsor, in its sole discretion.
5. OUR RIGHT TO USE YOUR SUBMISSION MATERIALS. For purposes of these Official Rules, all preexisting code embodied, incorporated or utilized as part of your Submission Materials created by the Teams and the Team members prior to the Contest Event shall be referred to herein as Preexisting Code.
(a) Regarding the Submission Materials, (i) you represent and warrant that: (A) all contents of Submission Materials are wholly original, have been created entirely by Team, have not been taken in whole or in part from any source other than Team and do not incorporate [or include any open source] code or anything that is owned by any third party or would require the consent of any third party; (B) you own and/or control 100% of all right, title and interest in and to the Submission Materials, as well as all elements contained therein; (C) the Submission Materials do not and shall not violate any law or the copyright, trademark, publicity right, privacy right, or any other right of any third party; (D) the Submission Materials, or any part thereof, have not been commercially released; and (E) you have the written consent, release and/or permission of each and every person who has a proprietary interest in the Submission Material to participate in the Submission Materials as contemplated by these Official Rules; and (ii) you agree that, with the exception of Preexisting Code, the Submission Materials shall be a 'work made for hire,' with all rights therein, including, without limitation, the exclusive copyright, being the property of Sponsor. In the event the Submission Materials are considered not to be a 'work made for hire,' you irrevocably assign to Sponsor all right, title, and interest in your Submission Materials, with the exception of Preexisting Code, (including, without limitation, the copyright) in any and all media whether now known or hereafter devised, in perpetuity, anywhere in the world, with the right to make any and all uses thereof, including, without limitation, for purposes of advertising or trade.
(b) You hereby hold Sponsor harmless from and against any third party claim arising from use of the Submission Materials. You waive any right to privacy. You waive any right to inspect or approve uses of the Submission Materials or to be compensated for any such uses.
(c) By providing Submission Materials in connection with this Contest, you grant to Sponsor and its affiliated companies, the right, except where prohibited by law, to use your name, likeness, picture, address (city and state), e-mail address, voice, biographical information, Submission Materials, entry form information and written and oral statements, for advertising and promotional purposes in promoting or publicizing the Submission Materials, Sponsor and its products and services, without compensation unless required by law. You shall have no right of approval, no claim to compensation, and no claim (including, without limitation, claims based on invasion of privacy, defamation, or right of publicity) arising out of any use, blurring, alteration, or use in composite form of your name, picture, likeness, address (city and state), e-mail address, biographical information, or entry form information. The rights granted under this paragraph shall extend to Sponsor and its affiliated companies with respect to all Teams in the Contest, including the Team and Official Entrant who is selected as the winner and those Teams and Official Entrants who are not selected as the winner. Sponsor is under no obligation to use the Submission Materials for any purpose.
6. WINNER SELECTION. Beginning on or about September 27, 2015, a panel of judges composed of Sponsor employees selected in Sponsor's sole discretion (the Judges) will judge the Submission Materials received from Teams and rate them as follows: Submission Materials will receive a score of one (1) to ten (10) in the following categories: innovation (25%), technical implementation (25%), presentation (25%), and coolness (25%) (collectively, the Criteria). The Submission Materials with the highest total score will be declared the winning Music Technology. In the event of a tie between or among Submission Materials, the Submission Materials with the higher score in the technical implementation criteria will be declared the winning Music Technology. If there is a still a tie, an additional Judge will re-evaluate the tied Submission Materials by applying the Criteria to determine the winning Music Technology. The Entrant who submitted the winning Music Technology will be declared the Grand Prize Winner of this Contest (the Winner). Sponsor reserves the right to modify the number of Winners, the length of the Contest Period or not to award any or all prizes in the event an insufficient number of eligible Submission Materials meeting the minimal judging Criteria are received during the Contest Period.
7. PRIZE. One (1) Winner will receive Five Hundred Dollars ($500.00). The combined retail value of all prizes (the Prize) is Five Hundred Dollars ($500.00). That determination represents Sponsor's good faith determination. That determination is final and binding and cannot be appealed. If the actual value of the Prize turns out to be less than the stated retail value, the difference will not be awarded in cash. Prize is non-transferable. No substitutions or cash redemptions. Prize may not be sold, bartered or transferred. Prize does not include any additional expenses, including, but not limited to transportation, meals, souvenirs, additional expenses associated with the Prize event, and federal, state and local sales or other taxes and surcharges which are the responsibility of Winner. Sponsor reserves the right to substitute a comparable prize of like or greater value for any Prize, or to pay Winner a cash equivalent (the value of which shall be determined by Sponsor in its sole discretion), for any reason. Under no circumstances will this Prize be awarded to any individual person directly. If the Winner is a Company, the Prize will be awarded to the Company. If the Winner is a Group, the Prize will be awarded to the Official Entrant of such Group on behalf of the Team he/she represents as defined in Section 3 of these Official Rules.
If, for reasons beyond the control of Sponsor (including, but not limited to, tampering or computer virus infection), the Contest is not capable of running as originally planned, Sponsor, at its sole discretion, reserves the right to cancel or modify the Contest, without liability. If an insufficient number of eligible Submission Materials (as determined by Sponsor in its sole discretion) are received by the Submission Deadline and the end of the Contest Period, Sponsor reserves the right not to award any or all Prizes. All taxes (including, but not limited to, income taxes) are the sole responsibility of Winner. All Teams and Team members agree to comply fully with each provision in these Official Rules. Any person attempting to defraud or in any way tamper with this Contest and any person who does not comply with these Official Rules, will be ineligible for any Prize and may be prosecuted to the full extent of the law.
The Winner, the Official Entrant and all Team members must meet all eligibility requirements listed in Section 2 and 3 of these Official Rules as of July 30, 2015. The Official Entrant for the Winner will be required to sign, have notarized, and return an Affidavit of Eligibility and Liability/Publicity Release within four (4) calendar days of Prize notification. If a Winner rejects his/her Prize or in the event of noncompliance with these Official Rules and requirements, such Prize will be forfeited and an alternate Winner may be selected from all remaining eligible Submission Materials. Upon any Prize forfeiture, no compensation will be given.
8. CONDITIONS. All federal, state, provincial and local taxes are the sole responsibility of the Winner. Participation in this Contest and acceptance of Prize constitute all Team members' permission for Sponsor to use their name, address (city and state), likeness, photographs, picture, portrait, voice, biographical information and/or any statements made by them regarding the Contest or Sponsor for advertising and promotional purposes without notice or additional compensation, except where prohibited by law.
By participating, Teams and all Team members agree to release, indemnify and hold harmless Sponsor, Contest Entities and all their respective parent companies, affiliates, subsidiaries, advertising and promotion agencies as well as each and all of their respective employees, officers, directors, representatives and agents (Released Parties) from any and all liability, for loss, harm, damage, injury, cost or expense whatsoever including without limitation, property damage, personal injury and/or death which may occur in connection with, preparation for, travel to, or participation in the Contest, or any damage due in whole or in part to the award, possession, acceptance and/or use or misuse of a Prize or participation in any Contest-related activity and for any claims based on publicity rights, defamation or invasion of privacy and merchandise delivery. By accepting the Prize, Winner agrees to release, indemnify and hold harmless Released Parties from any and all liability, for loss, harm, damage, injury, cost or expense whatsoever including without limitation, property damage, personal injury and/or death which may occur in connection with, preparation for, travel to, or participation in the Contest, or any damage due in whole or in part to the award, possession, acceptance and/or use or misuse of a Prize or participation in any Contest-related activity and for any claims based on publicity rights, defamation or invasion of privacy and merchandise delivery. Released Parties are not responsible if the Contest cannot take place or if any Prize cannot be awarded including, but not limited to due to travel cancellations, delays or interruptions due to acts of God, acts of war, natural disasters, weather or acts of terrorism. Teams and Team members who do not comply with these Official Rules or attempt to interfere with this Contest in any way shall be disqualified. There is no purchase or sales presentation required to participate. A purchase does not increase odds of winning.
9. ADDITIONAL TERMS. In the case of dispute as to the identity of any Team, Submission Materials will be declared submitted by the authorized account holder of the email address submitted at the time of entry. Authorized Account Holder is defined as the natural person who is assigned an address by an Internet access provider, online service provider, or other organization (e.g. business, educational, institution, etc.) responsible for assigning email addresses or the domain associated with the submitted email address. Any potential Winner may be requested to provide Sponsor with proof that such Winner is the authorized account holder of the social media account associated with the winning Music Technology. Any other attempted form of entry is prohibited; no automatic, programmed, robotic or similar means of entry are permitted. Released Parties are not responsible for technical, hardware, software, telephone or other communications malfunctions, errors or failures of any kind, lost or unavailable network connections, website, Internet, or ISP availability, unauthorized human intervention, traffic congestion, incomplete or inaccurate capture of entry form information (regardless of cause) or failed, incomplete, garbled, jumbled or delayed computer transmissions which may limit one's ability to enter the Contest, including any injury or damage to participant's or any other person's computer relating to or resulting from participating in this Contest or downloading any materials in this Contest. Sponsor reserves the right, in its sole discretion, to cancel, terminate, modify, extend or suspend this Contest should it determine (in its sole discretion) that a virus, bug, non-authorized human intervention, fraud or other causes beyond its control corrupt or affect the administration, security, fairness or proper conduct of the Contest. In such case, Sponsor will select the Winner(s) from all eligible Submission Materials received prior to and/or after (if appropriate) the action taken by Sponsor. Sponsor reserves the right to disqualify any individual it finds, in its sole discretion, to be tampering with the entry process or the operation of the Contest or website. Sponsor may prohibit a Team or Team member from participating in the Contest or winning a Prize if, in its sole discretion, it determines that said Team or Team member is attempting to undermine the legitimate operation of the Contest by cheating, hacking, deception, or other unfair playing practices (including the use of automated quick entry programs) or intending to annoy, abuse, threaten or harass any other Team, Team member or Sponsor's representatives.
CAUTION: ANY ATTEMPT BY A TEAM OR TEAM MEMBER TO DELIBERATELY DAMAGE ANY WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, THE SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW.
10. USE OF DATA/PRIVACY POLICY. Sponsor may collect personal data about Teams and Team members in accordance with its privacy policy. Please review the Sony Music Entertainment privacy policy at www.sonymusic.com/privacypolicy.html. By participating in the Contest, Teams and Team members hereby agree to Sponsor's collection and usage of their personal information and acknowledge that they have read and accepted Sponsor's' privacy policy.
11. ISSUES OF LAW. All federal, state and local laws and regulations are applicable. THE NEW YORK COURTS (STATE AND FEDERAL) SHALL HAVE SOLE JURISDICTION OF ANY CONTROVERSIES REGARDING THIS CONTEST AND THE LAWS OF THE STATE OF NEW YORK SHALL EXCLUSIVELY GOVERN THIS CONTEST WITHOUT REGARDS TO CONFLICT OF LAW RULES. EACH TEAM MEMBER WAIVES ANY AND ALL OBJECTIONS TO JURISDICTION AND VENUE IN THOSE COURTS AND HEREBY SUBMITS TO THE JURISDICTION OF THOSE COURTS. EACH TEAM AND TEAM MEMBER EXPRESSLY WAIVES THE RIGHT TO HAVE ANY SUCH ACTION OR PROCEEDING HEARD BEFORE A JURY.
12. WINNER IDENTIFICATION. (1) Stage 1 - Registration Period: Eligible individuals must register to participate between 12:00 p.m. ET on July 30, 2015 and 11:59:59 p.m. ET on September 18, 2015 (Registration Period) via [https://www.eventbrite.com/e/rock-code-tickets-17929350169] (Registration Site). There are fifty (50) seats available for registrants in this Contest (collectively, the Capacity) which are only available to Developers. For purposes of these Official Rules, Developer shall refer to any individual whose primary area of expertise is in one (1) or more of the following: writing source code for software applications (such as PC, Mobile, Gaming, Virtual Reality, or Augmented Reality), back-end server infrastructure (such as Databases, content hosting), security architecture/development (digital rights management, encryption), algorithm creation (such as audio/video codecs or large data set applications such as search). These seats are available to registrants on a first come, first served basis. Once the Capacity is reached, registration will close. Registration details and requirements will be available to eligible entrants on the Registration Site.
(2) Stage 2 - Contest Event: Registered eligible individuals (the Entrants) must attend the contest event scheduled to take place at ThoughtWorks, 99 Madison Avenue, New York, New York 10016 (Contest Event), between 7:00 p.m. ET on September 25, 2015 and approx. 4 p.m. ET on September 27, 2015 inclusive of the time necessary to present the Music Technology to the judges (Contest Period). You will not be permitted to attend the Contest Event if you are not already registered for the Contest via the Registration Site.
(3) Stage 3 - Submission: To be considered, Entrants who have completed Stages 1 and 2 must submit the following via the website ChallengePost at http://challengepost.com (the Contest Website) by 2 p.m. ET on September 27, 2015 (the Submission Deadline): (i) a technical, functional, and other relevant specifications of the submitted Music Technology (the Specifications); (ii) a working prototype of the Music Technology in object code form that fully implements the Specifications via functional, original code (for example: a native software application such as an iOS or Android app or PC program or website; no slideware or mock-up permitted) (the Prototype); and (iii) an entry form including the Entrant's full name, email address, the title of his/her Music Technology (collectively, the Submission Materials). The Prototype's presentation must not be longer than three (3) minutes.
(4) Stage 4 - Judging: To submit their Submission Materials, Entrants will then have the opportunity to present and perform their Prototype for no more than five (5) minutes in front of a panel of judges who will be present at the Contest Event at a designated location.
4. SUBMISSION MATERIALS. ONE SUBMISSION PER ENTRANT; ANY DUPLICATE WILL BE DISREGARDED AND ENTRANT MAY BE DISQUALIFIED. By submitting their Submission Materials, Entrants agree to be bound by the decisions of the judges, and these Official Rules and to comply with all federal, state, and local laws and regulations. Sponsor and those working for Sponsor or on behalf of Sponsor, will not be responsible for lost, late, misdirected, damaged, or postage due mail or e-mail, or for Internet, computer hardware and software, phone, and/or any other technical errors, malfunctions, and delays. Submission Materials must be submitted during the Contest Period, by the Submission Deadline and in strict accordance with Sponsor's instructions and restrictions, as well as in compliance with all federal, state and local laws and regulations and these Official Rules. Sponsor's clock will be the official timekeeper for this Contest. Submission Materials recorded by Sponsor will be the only ones considered. Each Entrant should review all personal information entered for accuracy purposes and make all corrections necessary to inaccurate data before submitting his/her Submission Materials. Other proof of submitting or attempting to submit Submission Materials (such as, without limitation, a printed, saved or copied automated receipt confirming entry or a 'thanks for entering' screen or message) does not constitute proof of actual receipt of the Submission Materials for purposes of this Contest. Those who do not abide by these Official Rules, the instructions of Sponsor or fail to provide all required information will be disqualified in Sponsor's sole discretion. Immediately upon submission, tangible Submission Materials will become the property of the Sponsor and will not be acknowledged or returned and may be destroyed. Entrants are encouraged to keep a copy or the original of each element submitted as part of the Submission Materials. Submission Materials that are forged, altered, incomplete, lost, late, misdirected, mutilated, illegitimate, garbled, or generated by a macro, bot, or other automated means will not be accepted and will be void. In the event of a dispute concerning the identity of the Entrant who submitted his/her Submission Materials, the Submission Materials will be deemed to have been submitted by the authorized holder of the e-mail information provided on the entry form. The 'authorized account holder' is the natural person to whom an email address is assigned by an Internet access provider, online service provider or other organization (e.g., business, educational institution, etc.) responsible for assigning email addresses for the domain associated with the submitted email address.
Submission or participation by any other individual, entity or group or originating on any other website than the Contest Website, including, without limitation, through commercial promotion subscription notification or entering services, will be declared invalid and disqualified for this Contest. As a condition of entering this Contest, without limiting any other provision in these Official Rules, each Entrant gives consent for Sponsor and its agents to obtain and deliver his or her name, address and other information and content to third parties for the purpose of administering this Contest and complying with applicable laws, regulations, and rules. Sponsor may keep all Entrant information for up to five (5) years after completion of the Contest for business management and record keeping purposes.
The Submission Materials may not contain references which are obscene, crude or vulgar, gang identification, references to commercial products, license plate numbers, phone numbers, personal addresses (physical or email), Website URLs, derogatory characterizations of any ethnic, racial, sexual or religious groups, references to illegal or inappropriate activity, behavior or conduct, or any other references that could be considered inappropriate, unsuitable or offensive, as determined by Sponsor, in its sole discretion.
5. OUR RIGHT TO USE YOUR SUBMISSION MATERIALS. For purposes of these Official Rules, all preexisting code embodied, incorporated or utilized as part of your Submission Materials created by Entrant prior to the Contest Event shall be referred to herein as Preexisting Code.
(a) Regarding the Submission Materials, (i) you represent and warrant that: (A) all contents of Submission Materials are wholly original, have been created entirely by Entrant, have not been taken in whole or in part from any source other than Entrant and do not incorporate [or include any open source] code or anything that is owned by any third party or would require the consent of any third party; (B) you own and/or control 100% of all right, title and interest in and to the Submission Materials, as well as all elements contained therein; (C) the Submission Materials do not and shall not violate any law or the copyright, trademark, publicity right, privacy right, or any other right of any third party; (D) the Submission Materials, or any part thereof, have not been commercially released; and (E) you have the written consent, release and/or permission of each and every person who has a proprietary interest in the Submission Material to participate in the Submission Materials as contemplated by these Official Rules; and (ii) you agree that, with the exception of Preexisting Code, the Submission Materials shall be a 'work made for hire,' with all rights therein, including, without limitation, the exclusive copyright, being the property of Sponsor. In the event the Submission Materials are considered not to be a 'work made for hire,' you irrevocably assign to Sponsor all right, title, and interest in your Submission Materials, with the exception of Preexisting Code, (including, without limitation, the copyright) in any and all media whether now known or hereafter devised, in perpetuity, anywhere in the world, with the right to make any and all uses thereof, including, without limitation, for purposes of advertising or trade.
(b) You hereby hold Sponsor harmless from and against any third party claim arising from use of the Submission Materials. You waive any right to privacy. You waive any right to inspect or approve uses of the Submission Materials or to be compensated for any such uses.
(c) By providing Submission Materials in connection with this Contest, you grant to Sponsor and its affiliated companies, the right, except where prohibited by law, to use your name, likeness, picture, address (city and state), e-mail address, voice, biographical information, Submission Materials, entry form information and written and oral statements, for advertising and promotional purposes in promoting or publicizing the Submission Materials, Sponsor and its products and services, without compensation unless required by law. You shall have no right of approval, no claim to compensation, and no claim (including, without limitation, claims based on invasion of privacy, defamation, or right of publicity) arising out of any use, blurring, alteration, or use in composite form of your name, picture, likeness, address (city and state), e-mail address, biographical information, or entry form information. The rights granted under this paragraph shall extend to Sponsor and its affiliated companies with respect to all Entrants in the Contest, including the Entrant who is selected as the winner and those Entrants who are not selected as the winner. Sponsor is under no obligation to use the Submission Materials for any purpose.
6. WINNER SELECTION. Beginning on or about September 27, 2015, a panel of judges composed of Sponsor employees selected in Sponsor's sole discretion (the Judges) will judge the Submission Materials received from Entrants and rate them as follows: Submission Materials will receive a score of one (1) to ten (10) in the following categories: innovation (25%), technical implementation (25%), presentation (25%), and coolness (25%) (collectively, the Criteria). The Submission Materials with the highest total score will be declared the winning Music Technology. In the event of a tie between or among Submission Materials, the Submission Materials with the higher score in the technical implementation criteria will be declared the winning Music Technology. If there is a still a tie, an additional Judge will re-evaluate the tied Submission Materials by applying the Criteria to determine the winning Music Technology. The Entrant who submitted the winning Music Technology will be declared the Grand Prize Winner of this Contest (the Winner). Sponsor reserves the right to modify the number of winners, the length of the Contest Period or not to award any or all prizes in the event an insufficient number of eligible Submission Materials meeting the minimal judging Criteria are received during the Contest Period.
7. PRIZE. One (1) Winner will receive Five Hundred Dollars ($500.00). The combined retail value of all prizes (the Prize) is Five Hundred Dollars ($500.00). That determination represents Sponsor's good faith determination. That determination is final and binding and cannot be appealed. If the actual value of the Prize turns out to be less than the stated retail value, the difference will not be awarded in cash. Prize is non-transferable. No substitutions or cash redemptions. Prize may not be sold, bartered or transferred. Prize does not include any additional expenses, including, but not limited to transportation, meals, souvenirs, additional expenses associated with the prize event, and federal, state and local sales or other taxes and surcharges which are the responsibility of Winner. Sponsor reserves the right to substitute a comparable prize of like or greater value for any prize, or to pay Winner a cash equivalent (the value of which shall be determined by Sponsor in its sole discretion), for any reason.
