Join the New York Technology Council for Session #3 of our popular series Legal Essentials for Startups, a four-part program designed to provide entrepreneurs and principals of early-stage companies and emerging growth companies with a grounding in fundamental legal issues that can critically affect their likelihood of success.

Each program will be delivered by a panel of attorneys drawn from large, mid-size and small law firms, all with extensive experience in both the subject matter of the series and the operations and concerns of entrepreneurs, startups and emerging growth companies. The goal of the series is to provide attendees with the tools necessary to spot significant legal issues, avoid some of the most common legal pitfalls and establish solid foundations for their ventures. These interactive sessions will provide ample opportunity for Q&A and will be equally valuable for principals of existing companies as well as for entrepreneurs planning to start their own companies.

Session #3 - Financing Strategies: Locking in the Funding to Grow Your Company

In this session, we will focus on financing issues for early stage companies such as:
Various sources of equity financing - friends and family, angels and venture capital firms (VCs).
Most common ways of structuring equity financing - convertible notes and preferred stock.
The process of negotiating and closing an early-stage financing.
Bootstrapping and other strategies to avoid or postpone the need for equity financing.
Doors open at 6:00 PM for networking, program starts at 6:30PM. Light food and beverage will be served.

Session 1 - Organizing the Entity - Held on March 24th

For those who missed Session 1, which addressed issues including type and choice of entity, structuring the entity, agreements among founders, and management and control issues, the video and slide deck is available on the NYTECH website.

Session 2 - Staffing Smart: What you Need to Know to Build and Maintain your Team - Held on April 28th

For those who missed Session 2, which addressed issues including employment agreements, equity compensation, immigration issues, employee classification (employee vs. independent contractor) and selection of board members, the video and slide deck will be available on the NYTECH website within the next couple of weeks.

Session 4 - Intellectual Property Protection - To be held in June, date to be announced

This session will address the fundamentals of patent, trademark, copyright and other forms of intellectual property (IP) protection and will focus on the necessary steps to ensure that the company establishes its rights in the IP created by its founders, employees and consultants and is able to protect its IP from infringement.

Kevin Saer, Partner, Davis Wright Tremaine

Kevin Saer centers his practice primarily on business transactions, including private equity and debt offerings, mergers and acquisitions, joint ventures and other strategic transactions. He represents a wide range of clients throughout the media, technology and retail industries. Kevin has extensive experience with international joint ventures and has represented U.S. clients and Chinese clients with ventures in China. He has also represented clients in joint ventures in Chile and Brazil.

Kevin's clients include: Sesame Workshop, Starbucks, Wenner Media (publisher of Rolling Stone, Men's Journal and Us Weekly magazines) and Ziff Davis.

Jerry Spiegel, Partner, Frankfurt Kurnit

Jerrold B. Spiegel chairs the Technology, Digital Media & Privacy Practice Group.
He has advised clients involved with computer-based media and online services since 1985. In addition to technology-related intellectual property law, Mr. Spiegel also co-chairs the firm's Corporate and Finance Group, helping early and mid-stage media, technology and innovative companies organize and reorganize, structure entrepreneurial ventures, engage in M&A activities, and access financing.

Mr. Spiegel represents online services, apps and software publishing clients, media and media services clients, alternative energy clients, fine restaurants, food and beverage clients, conference and event companies, and retail products and services clients among others.

Paul Ellis, Principal, Paul Ellis Law Group

Paul Ellis is the principal of a six-lawyer firm, Paul Ellis Law Group LLC, and is a founding board member of the New York Technology Council (NYTECH) and leads NYTECH's bi-monthly series of legal events. He has represented companies ranging from start-ups to multinationals, as well as funds and individual and institutional investors. Mr. Ellis counsels on issues including formation, early-stage financing, joint venture and strategic partnering relationships, employment, equity plans, mergers and acquisitions, and, together with his colleagues, protection and licensing of intellectual property.
