Its an exciting time to join Conductor as we recently raised $150 million at a $525 million valuation to build out our technology & acquired Content King - the worlds first real-time website auditing & monitoring platform.

We are seeking a Commercial Contracts Counsel, who will focus on providing legal advice & contract drafting/negotiation support to our sales team in our quick paced & accelerating sales processes.   As part of a high-growth company, you'll be instrumental in the companys success & will serve as a critical member of the legal department.

Responsibilities

  • Negotiate MSAs, Data Protection Addendums (DPAs), SOWs, order forms, NDAs, partnership agreements, vendor contracts, & other related contracts to support sales & operations on time sensitive matters
  • Provide legal/contractual/strategic advice to the sales team
  • Interpret business requirements into legal/contractual requirements & vice versa
  • Analyze & mitigate potential risks involved with specific contract terms & corporate strategies
  • In collaboration with the legal team, create, maintain, & update internal contract templates & commercial strategies to support of the business
  • Serve as primary contact for internal & external contract-related inquiries
  • Stay current on relevant industry, commercial, IP, privacy, & other laws, regulations, & developments that affect the companys operations
  • Assist with various legal projects to support the company as it scales

 

Qualifications

  • 3-7 years of experience in a large law firm and/or in-house legal department demonstrating ability to lead customer-facing negotiations of commercial contracts (e.g., NDAs, SaaS Agreements, Professional Services Agreements, Service Level Agreements & Partner Agreements), ideally on behalf of SaaS-based companies.
  • Experience interpreting contractual terms & conditions & guiding sales teams & business leaders regarding contractual obligations
  • Strong writing, drafting, editing & communication skills, including the ability to think creatively to overcome objections & identify solutions to opposing positions during contract negotiations, with an attention to detail
  • Ability to work independently with excellent business judgment & the ability to assess legal risk while also thinking strategically & providing sound, practical advice under tight deadlines.
  • Flexibility to adapt & grow with the company & positive, collaborative approach to problem solving
  • Demonstrated understanding of intellectual property, licensing, privacy, data security & commercial laws.
  • Ability to work cross-functionality with different departments to reach consensus on whether to accept non-standard contract terms. 
  • Must have a law degree from an accredited law school & admission to & active status in at least one state bar.
