Hi, we're Oscar. We're hiring a Senior Counsel, Securities to join our Legal Team.

About the role:

The Senior Counsel, Securities will be a strategic partner to our Finance & Accounting, Compensation, & Investor Relations teams.

The Senior Counsel will ensure compliance with our public company obligations, including our SEC filings & insider trading, Section 16 & Regulation FD requirements. Also, the Senior Counsel will provide counsel for capital markets transactions, & will support the Company's corporate secretary function.

You will report to the Deputy General Counsel.This is a hybrid role. You will work part of the time in the New York office & part of the time work-from-home/remote. #LI-Hybrid


  • Lead attorney for providing legal advice & support for our SEC filings, including Forms 10-K, 10-Q, 8-K & Proxy Statement
  • Collaborate with SEC reporting team to implement disclosure controls & procedures
  • Provide support to the General Counsel & Corporate Secretary, & serve as a company resource for corporate governance issues
  • Provide strategic counsel for capital markets transactions
  • Manage compliance with Regulation FD, NYSE requirements, insider trading policy & Section 16 & 10b5-1 programs
  • Partner with Finance, Accounting, Treasury, Investor Relations, Compensation & a variety of other business clients to solve complex business problems
  • Provide strategic & pragmatic guidance, advice, & engaging training programs to improve the business's understanding of relevant public company legal & regulatory requirements
  • Maintain trusted relationships with cross functional leaders to ensure our needs are met & constantly evaluate opportunities for improvement
  • Help to develop, implement & continually improve Company & team processes & procedures
  • Manage a team of paralegals


  • JD required, with 7+ years of relevant experience at a top tier law firm and/or in-house
  • Active law license in good standing with the ability to register as in-house counsel in New York state, or alternatively, admittance in New York state
  • Experienced securities attorney, with public company experience, including with the Securities Act of 1933 & the Securities Exchange Act of 1934, & experience with a variety of complex corporate securities & financing transactions
  • Experience & understanding of corporate law, corporate governance & contract drafting & interpretation

Bonus points:

  • Experience working in the healthcare industry or insurance industry
