Supports all accounting, controls & financial activities relating to mergers & acquisitions as well as development of new business ventures & joint ventures in support of overall Fanatics objectives including revenue & profitability goals as well as future business growth objectives. Responsible for supporting the accounting & controlling functions, maintaining fiscal records, establishing & maintaining budgetary & transactional controls & procedures, financial infrastructure, & preparing financial reports in compliance with the company's reporting requirements & operating procedures. The role will collaborate & partner with respective peers in Corporate Development, Finance, & General Counsel office.
GENERAL DUTIES & RESPONSIBILITIES:
Supports M&A process & new ventures activities for all finance & accounting related aspects including deal strategy, due diligence, integration, & ongoing reporting.
Participates in strategy & business plan development meetings with business owners, legal, tax, & finance to assess structuring options & deal financing & assess accounting, tax & reporting implications of deals.
Coordinate with tax/legal etc. to understand & support development of tax efficient structures.
Active engagement during due diligence to review historical financials, identify risk areas, assess quality of earnings, & evaluate accounting conformance matters.
Coordinate/setup pre-valuation for acquisitions & new venture concepts in close partnership with the Corporate Development team & work with valuation specialists to complete purchase price allocation, including review of key assumptions.
Assess deal impact to financial statements & financial reporting obligations.
Assess policy differences with target; administer corporate accounting policies & coordinate post-deal accounting & financial activities.
Ensure deal accounting is in compliance with US GAAP through review of key deal terms, evaluation of purchase accounting matters & preparation of accounting whitepapers.
Support process to finalize purchase price accounting entries to ensure the accurate & timely preparation of financial statements.
Coordinate with FP&A to support performance monitoring & goals related to acquisitions & new ventures.
Support project management of post-deal integration activities & work with relevant stakeholders to evaluate progress.
Support independent audits in relation to deal activity & integration of new businesses.
Assist with the establishment of compatible financial systems & counterparty requirements (for general ledger, financial reporting, accounts payable, fixed asset, accounts receivable, etc.) & to align period-end close timing.
Supports development of accounting policies, procedures, controls, & governance of acquired businesses & joint ventures.
Bachelor's degree in accounting, finance or the equivalent combination of education, training, & work experience. Also requires an active Certified Public Accountant (CPA) license.
