About the Role

iCapital is hiring an Assistant Vice President, Fund Attorney, EMEA to join its International Legal team.  The focus will include representing iCapital in distribution agreement negotiations as well as supporting the launch of iCapitals private funds for its EMEA & APAC clientele on a wide spectrum of matters, including marketing & fund formation & structuring.  The ideal candidate should have strong experience in both drafting & negotiating fund documents, distribution agreements & placement agreements.  The candidate will work closely with the Head of International Legal & will be an integral part of iCapitals global legal team.  This is a unique opportunity to work with a dynamic team & meaningfully contribute to the expansion of a growing business.

Responsibilities

  • Negotiate various agreements with counterparties including many of the worlds largest & most sophisticated private banks, & distribution & placement agents
  • Draft & review private fund offering materials, partnership agreements & related private fund legal documentation
  • Coordinate with outside legal counsel with respect to a variety of issues including regulatory, corporate & fund investment work
  • Drive legal projects with on-time & on-budget results
  • Perform ad hoc research projects

Candidate Profile

  • Desire to work at a high-growth company in a fast-paced environment, reshaping the alternative investment ecosystem
  • 2-4 PQE of fund formation experience within the Investment Management space (Private Equity & Hedge Fund)
  • Strong knowledge of Luxembourg corporate structures & regulatory matters
  • Knowledge of the Investment Company Act of 1940, the Investment Advisers Act of 1940, the Securities Act of 1933, the Securities Exchange Act of 1934, & FINRA regulations is a plus
  • Qualified in the U.K., a member in good standing of the New York bar, or qualified in another jurisdiction
  • Knowledge of fund & cross-border regulations is a plus
  • Law firm or in-house experience at an asset management firm is a plus
  • Excellent interpersonal & leadership skills
  • Willingness to learn new topics & work in an evolving business environment
  • High level of integrity
  • A proactive attitude & ability to work cross-functionally an ability to think through complex concepts & tackle them in an organized & efficient manner
