About the Role

iCapital is hiring an Assistance Vice President, APAC Legal Counsel to join its Legal Group & work with the broader iCapital team in Singapore & Hong Kong.  The role will be focused on representing private funds established predominantly in Cayman or Luxembourg for APAC-based sponsors on a wide spectrum of matters including regulatory issues, capital raising, distribution, marketing, & fund formation & structuring, as well as on general corporate matters.   The ideal candidate will have the ability to work across all functions, balance multiple projects effectively, & help manage external contractual relationships & outside counsel.  The candidate will work closely with iCapital personnel on the client relationship, operational & legal teams.

Responsibilities

• Negotiate various agreements with counterparties including many of the worlds largest & most sophisticated fund managers & leading distribution agents;
• Draft & review private fund offering materials, partnership agreements & related private fund legal documentation;
• Advise on the legal implications of offering new & existing products & services across jurisdictions;
• Coordinate with outside legal counsel with respect to a variety of issues including regulatory, corporate & fund investment work;
• Drive legal projects with on-time & on-budget results;
• Draft & review complex, technology-driven client engagement agreements;
• Draft & review a variety of general corporate agreements;
• Assist with legal aspects of strategic corporate development initiatives; and
• Perform ad hoc projects.

Qualifications

• 2-4 years of relevant experience within a top-tier law firm and/or in-house at an asset management or financial services firm
• Strong knowledge of Cayman corporate structures & regulatory matters
• Knowledge of Luxembourg corporate structures & regulatory matters is a plus
• Knowledge of the Investment Company Act of 1940, the Investment Advisers Act of 1940, the Securities Act of 1933, the Securities Exchange Act of 1934, & FINRA regulations is a plus
• Strong interpersonal & leadership skills
• Willingness to learn new topics & work in an evolving business environment
• High level of integrity
• A proactive attitude & ability to work cross-functionally
• Organized & detail-oriented with big picture capability
• Qualified in Singapore or Hong Kong
