Over the past several years, we have seen the emergence of token sales, initial coin offerings (ICOs), and most notably "The DAO"--a decentralized venture capital fund--that raised the equivalent of $150 million before being compromised by one or more hackers. In this "Tech Talk," we'll explore the contours of token sales, providing insight into whether these sales violate U.S. securities laws, the legal status of decentralized organizations, and whether it is possible to structure token sales that comply with U.S. laws.
