Conrad Everhard
Partner, VLP Law Group LLP
Conrad is a seasoned corporate and transactional attorney with over twenty years of big law firm and general counsel experience. Conrad counsels his clients on business matters at every stage of their life cycles, including start-up formation, strategic planning, executive compensation, corporate governance, mergers and acquisitions and all forms of venture capital and private equity transactions.
David Goldenberg
Founding Partner, VLP Law Group LLP
David is a Founding Partner and former member of the firm's executive committee. His practice includes a broad range of clients, many of which are growth-oriented technology companies.
David counsels his clients on contractual and corporate matters throughout their life cycle, as well as individual executives on employment matters. He regularly works with company founders, investors, and related parties on preferred stock, common stock, convertible debt, secured loan, up-round, down-round, bridge, warrants, and other types of financing-over 80 financings completed in all. David has overseen licensing, strategic partner, and IPO transactions, as well as multiple mergers, ranging in size from $6M to $1.9B.
Doug Hurst
Partner-NYC, ACG Partners
Doug is a Partner in the New York office of AGC Partners, focusing on media, telecoms, wireless services and IT Services. He is a 27-year veteran banker with extensive experience at bulge bracket firms including Merrill Lynch, Smith Barney, and JPMorgan, where he spent a combined 17 years. Before joining AGC in 2010, Doug was also Senior Managing Director of media, telecoms and entertainment for SMH Capital, which merged with a boutique firm he co-founded in 2002. Doug received his MBA from the Amos Tuck School of Business at Dartmouth College. He received his BA from Duke University.
Eric Gebaide
Managing Director-NYC, Innovation Advisors
Mr. Gebaide has over 20 years of advising and operating public and privately held technology companies in every phase of their development, as an attorney, merchant and investment banker. Throughout his career, Mr. Gebaide has advised on over 40 successful transactions including mergers, acquisitions, restructurings, bankruptcies, private placements and joint ventures throughout North and South America, Europe and Asia, totaling over $1 billion of value. Prior to founding Innovation Advisors, Eric was a senior banker for over five years with Broadview Int'l LLC (now Jefferies Broadview).
Mr. Gebaide was the U.S. head of the firm's IT Services practice and also the firm's New York-based Internet Media practice. Previously, Mr. Gebaide was a Managing Director for the U.S., as well as Global General Counsel of a privately held, European-based merchant banking group for over four years, serving on several boards of NASDAQ-traded technology companies. Following the acquisition, reorganization and consolidation of the merchant bank into Emerson Radio Corp. (MSN - Amex), he also served as Director of Business Development at Emerson. Prior to joining the merchant bank, after several years of practicing law in New York and Florida, he also founded and was the President of an Internet start-up in Silicon Alley from 1989 to 1991, the Everlink Corporation, which was the first multi-media VAR for Sun Microsystems, Informix and Natural Language.
Larry Philips
Managing Director, Mooreland Partners
Larry is a Managing Director in Mooreland Partner's Greenwich office. He joined Mooreland in 2004 and focuses on the global software, interactive and business services industries. Drawing on over 20 years of investment banking, venture capital and operating management experience in information technology, Larry has completed numerous transactions at Mooreland and at predecessor firms, including Brown Brothers Harriman and Unterberg Harris.
In addition to his investment banking experience, Larry brought extensive operating and investment experience to Mooreland. He held general management roles at the media holding company PRIMEDIA, where he launched an interactive division, and subsequently started and ran and in-house corporate venture fund. He also has prior operating experience from roles as a CFO at technology start-up companies.
Ward Carter
Chairman, Corum Group
Corum's former President and now Chairman Ward Carter's technology background includes a variety of management positions with the Burroughs Corporation (later Unisys). Then, as vice president of a Wall Street investment firm and as principal in a regional venture firm, he raised capital for ventures in computer hardware, software, and biotechnology. As an executive for a Seattle-based archival storage software company, he attracted venture capital and assisted with the eventual acquisition of the company by a larger competitor. As president of InfoMatrix, and later Discovery Sales + Marketing, Ward provided strategic consulting support to emerging software companies.
He joined Corum in 1997, has successfully managed numerous software company mergers and acquisitions worldwide, was appointed President in 2006 and Chairman in 2010. He graduated with Honors from Seattle University with a B.A. in Business.
