About the Role

iCapital is looking to hire a Vice President to join the legal team, with experience working on fund related work.  The focus of this role will include corporate transactional work representing iCapital in connection with mergers, acquisitions, joint ventures, strategic alliances, & other related matters.  The ideal candidate has strong experience in conducting due diligence, structuring transactions, drafting, & negotiating acquisition agreements & related documentation.  This individual will work closely with both our General Counsel, other Managing Directors on the Legal team, & our Corporate Development team, both in the United States & globally.

Responsibilities

• Negotiate various agreements with counterparties including:
• Stock Purchase Agreements
• Asset Purchase Agreements
• Joint Venture Agreements
• Merger Agreements
• Licensing Agreements
• Assignment Agreements
• Other related documentation.
• Review & conduct due diligence on private fund offering materials, partnership agreements, & other private fund legal documentation.
• Assist with regulatory filings such as HSR, intellectual property, & other transactional filings.
• Draft & review a variety of general corporate agreements related to human resources, finance, marketing, real estate, facilities, & alternative investments.
• Draft & review various contracts engagement letters, non-disclosure agreements, memorandum of understanding, letters of intent, & other similar legal documentation.
• Advise on the legal implications of offering new & existing products & services.
• Coordinate & oversee outside legal counsel with respect to a variety of transactional matters.
• Interact with finance, tax, operations, & other colleagues within iCapital & with outside third parties.
• Perform ad hoc research projects.

Qualifications

• 5+ years of relevant experience within a top-tier law firm and/or in-house at a financial services firm, or within a related industry
• Member in good standing of New York Bar or another state or jurisdiction
• Experience working with private funds (both hedge & private equity funds) is required
• Experience with contracts & general commercial matters is preferred
• Strong interpersonal & leadership skills
• Willing to learn new topics & work in an evolving business environment
• Organized & detailed oriented with big picture capability

Benefits

The base salary range for this role is $180,000 to $220,000. iCapital offers a compensation package which includes salary, equity for all full-time employees, & an annual performance bonus.
