The key to a successful startup fundraising journey is mastering one of the final steps - the term sheet. Designed to outline the conditions of the investment, term sheets can be overwhelming & complex to navigate. Understanding SAFEs, Convertible Notes, what's negotiable, & what's not, there are a number of technicalities you want to get right.



We're bringing together investors, a lawyer, & a founder to break down the seed-stage fundraising process & unpack the fundamentals of the term sheet. Our panel of fundraising experts will share real-world insights, tips on how not to scare the money away, whether to sign or walk away, & the steps after you've received your influx of cash.



The panel will also answer questions on how to avoid potential mine fields & most importantly, how to get the money in the bank.

Caitlin Strandberg

Principal, Lerer Hippeau

Caitlin Strandberg is a Principal on Lerer Hippeau's investment team. She joined from FirstMark, an early-stage venture firm based in NYC, where she was a Vice President. She previously worked on the investment team at Flybridge Capital partners & at two startups, LearnVest (acquired by Northwestern Mutual) & Behance (acquired by Adobe). Caitlin is a graduate of Cornell University, where she majored in History. She holds an MBA from Harvard Business School. Caitlin sends all her best gifs via GIPHY.

Salil Gandhi

Partner, Goodwin Procter LLP

Salil Gandhi is a partner in Goodwin's Technology & Life Sciences group. Mr. Gandhi specializes in the representation of emerging growth companies throughout their lifecycles as well as venture capital funds & other private equity funds. For emerging companies, Mr. Gandhi advises on a variety of general corporate & governance issues, including corporate formation, venture capital financing & exit transactions. For venture capital & other strategic investors, he advises on structuring & executing investment transactions ranging from angel to control investments as well as portfolio dispositions.

Maria Velissaris

Founding Partner, SteelSky Ventures, & Angel Investor

Maria Velissaris is a serial entrepreneur & angel investor. She is the Founding Partner of SteelSky Ventures, which provides consulting & capital raising services for female-led companies. She founded her first business, Wakeboxes in 2000, which became Collegeboxes & was later acquired by Uhaul.


She has invested in several early stage, female-led companies personally & invests as a member of Pipeline Angels. Mrs. Velissaris obtained a B.S. in Information Systems from Wake Forest University & an MBA from the Stern School of Business at New York University.

Ricardo McKenzie

Executive Director, JP Morgan

Ricardo McKenzie is an Executive Director in J.P. Morgan's North America Private Capital Markets Group, where he advises companies across various industries on strategic private capital raises, & is involved in all phases of private finance including origination, structuring, pricing & distribution. Prior to joining the Private Capital Markets Group, Mr. McKenzie advised institutions on public capital raising alternatives in the Equity Capital Markets group, & advised banks in the U.S., Canada & Puerto Rico on M&A & strategic financings as a member of the Financial Institutions group.
